Compellent Response to Dell’s Acquisition of Equallogic

Situation:
On Nov. 5, 2007, Dell announced it plans to acquire EqualLogic, a network-storage provider, for $1.4 billion in cash as part of an effort to sell more products to small and midsized business customers. EqualLogic recently filed plans for an initial public offering and the market had expected this offering to take place before the end of the year. The company's products center on iSCSI technology, which Dell said constitutes the fastest growing segment of the storage market. Dell said it expects to complete the acquisition in late 2007 or early 2008; it will sell EqualLogic alongside its PowerVault storage and Dell/EMC FC arrays.
